General Meeting Of Members Of The Company

Agenda items are:

- that the Company be wound up voluntarily



- that Alan Hayes, nominated Liquidator of the Company, is authorised to distribute in specie such assets of the Company to its members in whole or in part as and on such basis as he may determine.



- that Alan Hayes, nominated Liquidator of the Company, is authorised to exercise all and any powers in the Constitution of the Company to distribute as dividends to its members different amounts as between different classes of shares in the Company and (if he so determines) to pay a dividend in respect of any one or more classes of shares to the exclusion of any one or more other classes of shares in the Company.



- that Alan Hayes of Hayes Advisory be appointed as Liquidator for the purpose of the winding up.



- to fix or determine the remuneration of the proposed members voluntary liquidator.



- to fix or determine the internal disbursements of the proposed members voluntary liquidator.



- to fix or determine the external disbursements of the proposed members voluntary liquidator.



- to consider the early destruction of the company ' s books & records at conclusion of the proposed liquidation.
