Meeting Of Creditors Of A Company Subject To A Deed Of Company Arrangement

Agenda items are:

1. to determine the remuneration of the deed administrator(s)
2. to determine the deed administrator(s) and or liquidator(s) future remuneration if appointed
3. if the company is wound up to consider the early destruction of books and records
4. any other business

5. To consider the report prepared by the Deed Administrator pursuant to section 445F of the Corporations Act 2001 dated 31 July 2015.

6. To consider, and if thought fit, resolve that the Company execute an amended Deed of Company Arrangement to facilitate the Recapitalisation Proposal jointly submitted by Otsana Pty Ltd and Auxano LLP Pty Ltd on the terms substantially outlined in the Deed Administrator(s) Report to Creditors issued pursuant to section 445F of the Corporations Act 2001 dated 31 July 2015.

7. To consider, and if thought fit, resolve that the Deed of Company Arrangement be terminated and the Company be wound up.
